T-Mobile is a telecommunications company that deals in cellular equipment and services like voice, messaging, data, and television streaming. T-Mobile, Metro PCS, and Layer3 TV are some of the company’s television streaming brands. The company was founded in 1994 by the name of VoiceStream Wireless PCS as a subsidiary of Western Wireless Corporation. The company separated in 1994 and was later acquired by Deutsche Telekom AG in 2001. It was renamed T-Mobile USA, Inc. in 2002. The company currently provides wireless services to 79.7 million postpaid, prepaid and wholesale customers. Apart from this, it also provides a large choice of wireless devices and accessories to customers to go with its affordable wireless communication services. The parent company Deutsche Telekom AG, currently owns 62% of their shares outstanding and maintains voting rights. The company has approximately 52,000 employees as per January 2019 records.

Threat

1. Strong competition in the telecommunications industry: Competition in the wireless telecommunications industry is very high. T-Mobile is the third largest provider of postpaid service plans and the largest provider of prepaid service plans in the U.S. as measured by customers. Competitors for T-Mobile are AT&T, Verizon Communications and Sprint. Being bigger than T-Mobile, both AT&T and Verizon are able to employ greater scale advantages and resources than T-Mobile. TracFone Wireless, Inc., Comcast Corporation and Charter Communications, Inc. form the smaller regional carrier competitors. Existing mobile virtual network operators (“MVNOs”) also give competition like Altice USA, Inc. by offering consumers with services like no-contract, postpaid and prepaid service plans. Companies that offer similar services through alternative technologies like voice, messaging and data services also compete with T- Mobile. Pricing, market saturation, service and product offerings, customer experience, network investment and quality, development and deployment of technologies, availability of additional spectrum licenses and regulatory changes are some of the factors that govern competition within the wireless telecommunications industry. Aggressive pricing is often also used as a tool to drive differentiation as is the offering of ancillary services to attract customers. Growth and margins within the industry are thus always under pressure as companies fight to retain the current customer base and also add new customers.

2. Balancing the growing capex burden: Network investments are an ongoing process for telecom industry players like T-Mobile. These range from 5G and low-power wide area networks to gigabit fiber. It is however not possible for the companies to be certain about receiving returns on investments as IoT-centric 5G usage is still not widespread and broadband is far more preferred in face of fiber connectivity’s premium pricing. T-Mobile needs to keep a sharp watch on its investments as it is weighing heavy under the burden of a diverse portfolio of network assets gained through multiple acquisitions. Decision making will have to be done very prudently in an educated fashion, especially around infrastructure switch-off, spin-off and sharing as minor misses can also lead to major write-downs for the company.

3. Threats from increasingly complex and changing regulations: The Federal Communications Commission (FCC) plays a cardinal role in the US for regulating telecommunications business, including licensing, construction, the operation and use of network, modifications of network, control and ownership of licenses and authorizations, the sale, transfer and acquisition of certain licenses, domestic roaming arrangements and interconnection agreements. Several rules are regarded in ongoing proceedings like the 911 and E-911 services, porting telephone numbers, interconnection, roaming, internet openness or net neutrality, disabilities access, privacy and cybersecurity, consumer protection, and the universal service and Lifeline programs. Competition can also increase owing to additional spectrum being allocated to the broadband commercial mobile radio service (CMRS) of cellular, PCS, miscellaneous wireless services and specialized mobile radio by the Congress and the FCC. T-Mobile’s business, financial condition and results of operations are likely to be affected.

4. Sprint merger delay due to lawsuits: T-Mobile has already received approvals from all the major federal agencies like the Department of Justice and the FCC for the T-Mobile – Sprint merger as of June 2019. A lawsuit filed against the merger by the Democratic state attorneys general can however invite trouble. Allegations are doing rounds that the merger will prove to be anticompetitive by causing hikes in prices. T-Mobile has answered by guaranteeing that prices for wireless services will not be increased for three years after merger completion. However, the uncertainty on the approval may delay the final outcome on the merger and the company’s business strategy.
